The Corporate Affairs Commission has announced plans to strike off 100,000 companies from its register for failing to meet statutory filing obligations.
According to a public notice issued by the Commission’s management on Wednesday, the affected companies have defaulted in filing outstanding annual returns and other mandatory corporate documents required under Nigerian law.
The exercise, identified as Batch 6, is being carried out in line with Section 692 (3) and (4) of the Companies and Allied Matters Act (CAMA), 2020.
The Commission stated that the names of all affected companies have been published on its official website, where business owners can verify their status.
“This is to notify the General Public and Esteemed Customers that the Corporate Affairs Commission has commenced another round of striking off names of companies from the Register pursuant to the provisions of Section 692 (3) and (4) of the Companies and Allied Matters Act, 2020.
“The list of the affected One Hundred Thousand (100,000) companies can be accessed at the Commission’s Website.”
Companies Given 90 Days to Regularise Records
The Commission urged all affected businesses to immediately update their corporate records to avoid being removed from the register.
It directed companies to file all outstanding annual returns, including information relating to Persons with Significant Control (PSC) or Beneficial Ownership, within 90 days from the date of the notice.
According to the notice:
“The affected companies are hereby advised to take steps to file all outstanding Annual Returns (and by extension Persons with Significant Control/Beneficial Ownership information) and regularize their records within ninety (90) days of this notice.”
The Commission further instructed affected companies to submit proof of compliance through its designated email address.
“Evidence of compliance should be sent to the designated struckoffcompanies@cac.gov.ng.”
Commission Warns No Further Notice Will Be Issued
The Corporate Affairs Commission warned that companies that fail to comply within the stipulated period will be removed from the corporate register without any additional notification.
It stated:
“Please note that companies that fail to comply within the stipulated timeline shall be struck off the Register without further notice.”
Despite the enforcement action, the Commission reaffirmed its commitment to delivering efficient services to businesses across the country.
